Stand Together is looking for a self-motivated and detail-oriented legal professional to join our Legal & Compliance capability.  This role provides an opportunity to proactively identify areas for improvement and drive operational initiatives to completion.  As the Manager, Legal Operations & Governance, you will be key in creating processes and practices to improve day-to-day efficiency and effectiveness of the Legal & Compliance team, as well as overseeing the corporate governance for organizations in our philanthropic community.  You will also be responsible for managing change and controlling legal costs and will enable in-house counsel to focus on high value items by encouraging legal operational excellence.

Your Responsibilities Include


  • Define and drive operational initiatives to completion in a timely manner
  • Identify and implement legal department tools to streamline new or existing practices, as well as manage design, rollout, and training for new systems
  • Manage corporate governance process and maintain all governance documentation for multiple entities – proactively updating when changes occur
  • Draft resolutions, unanimous consents forms, and amendments – circulating forms for signature when necessary
  • Create new entities when needed, setting up EIN’s
  • Mange annual charitable solicitation registrations for multiple entities in 35+ states, ensuring changes are reflected each year and that information is correct
  • Oversee IRS filings for tax-exempt organizations, such as 1023 applications and 990 forms
  • Work closely with the compliance team and assist with compliance related projects when needed
  • Manage relationships with outside counsel and oversee the legal vendor management process



Knowledge and Skills You Bring the Organization


  • 3+ years of experience in legal operations and/or corporate governance paralegal
  • A passion for and commitment to Stand Together’s vision and principles
  • Demonstrate ability to independently move projects forward by gaining support needed from others while working in a cross-functional role
  • Excellent analytical, problem-solving, and communication skills
  • Strong project management skills and highly detail-oriented
  • Must be excited to collaborate in a team setting
  • Able to thrive in a fast-paced environment and successfully manage multiple deadlines

  • Experience working for a tax-exempt organization
  • Experience filing 990 forms and 1023 applications
  • Experience in building partnerships across multiple organizations
  • Experience as a paralegal working on contract management or litigation.
